Our Terms and Conditions of Use

The following Terms & Conditions of Use (“Terms & Conditions”) outline the rules for accessing and using the Luckywise360 platform (“Platform”), made available by Gaveta Decimal, Lda., with registered office at Rotunda Eng. Edgar Cardoso N23, Sala F, having tax identification number 514677856, registered with the Commercial Registry Office of Vila Nova de Gaia under the same number, with a share capital of € 600,000 euros (“Gaveta Decimal”).

Users (“Users”) must carefully read the following Terms & Conditions before using the Platform, since it contains essential information regarding their rights and obligations, as well as conditions, limitations and exclusions that might apply to them.

By using the Platform, clicking “I Accept” when prompted, or indicating their acceptance in an adjoining box, Users confirm that they understand and agree to abide by all of these Terms & Conditions.

If Users are accepting these Terms & Conditions on behalf of a company or another legal entity, they assert that have the legal authority to accept these Terms & Conditions on behalf of that entity, in which case “User” will refer to that entity. If Users do not possess such authority, or if they do not agree with all of these Terms & Conditions, Gaveta Decimal will be unwilling to provide access to the Platform.

If Users disagree with these Terms & Conditions or are prohibited by applicable law from accessing or using the Platform or any of its contents, products, or services, they should refrain from accessing or using the Platform.

Users undertake to comply with these Terms & Conditions, as well as to comply with any special notices or instructions for use contained therein and to act at all times in accordance with the legislation in force, morality, good customs, and the requirements of good faith and established public order, being diligent and refraining from using the Platform in any way that may hinder, damage, or deteriorate its normal functioning, the assets or rights of Gaveta Decimal, of other Users, or, in general, of any third party.

In this regard, Users acknowledge that they are accountable for their actions when accessing or using the Platform and for any resulting outcomes. Specifically, and without this implying any restriction to the above, Users undertake to:

• Provide truthful information about the data requested in any forms available on the Platform. Users will be fully responsible for any data or content that they transmit or communicate to Gaveta Decimal.
• Not to send, upload, distribute, or disseminate through the Platform any program, data, virus, code, or any other physical or electronic device that is likely to cause damage to it, to any of the services, or to any of the equipment, systems, or networks of Gaveta Decimal or of any other user, or, in general, of any third party.
• To the maximum extent permitted by applicable law, not to alter, copy, download, modify, decompile, disassemble, reverse engineer, license, lease, sell, or imitate the Platform, its contents, or its underlying software.
• Not to send, upload, distribute, or disseminate through the Platform any content that infringes industrial and/or intellectual property rights or trade secrets of third parties, nor, in general, any content of which Users do not hold, in accordance with Applicable legislation, the right to make it available to third parties.
• Not to send, upload, distribute, or disseminate any unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable content.
• Not to engage in, promote, or encourage illegal activity.
• Refrain from sending, uploading, distributing, or disseminating any content on the Platform that includes hate-related or violent material, or any other content, products, or services that breach or promote actions in violation of applicable legislation or the rights of third parties.
• Not to impersonate another individual and refrain from using, deploying, operating, or creating a computer program to mimic the actions of a User (“Bot”).

Gaveta Decimal is not responsible for any losses that may arise from interferences, omissions, interruptions, computer viruses, malfunctions, or disconnections in the functioning of the electronic systems or in the devices and computer equipment of Users, due to causes beyond our control. This includes delays or access blockages caused by deficiencies or overloads of the Internet or other electronic systems.

Furthermore, Gaveta Decimal is not liable for any use made by Users of the content of the Platform that may violate any national or international legislation concerning the protection of intellectual or industrial property rights or any other rights held by third parties. Specifically, each “User” is solely responsible for having communicated incorrect, false, or third-party information or data without their consent, as well as for the misuse of such information.

Gaveta Decimal shall also not be held liable for any errors or omissions that may occur in the content of the Platform or any other content accessible from it. To the extent permitted by applicable law, Gaveta Decimal cannot be held responsible for any damages arising from the use of the Platform or for any actions taken based on the information provided therein.

Users hereby waive and absolve Gaveta Decimal, along with its parent company, subsidiaries, affiliates, and all their respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, and successors, from any and all claims arising from actions taken by us or any of the aforementioned parties in connection with investigations conducted by Gaveta Decimal, those parties, or law enforcement authorities.

Nevertheless, Gaveta Decimal declares that it has adopted and will continue to adopt all necessary measures, within its capabilities and current technological standards, to ensure the proper functioning of the Platform and to prevent the existence and transmission of viruses and other harmful components to Users.

The Platform may contain links, integrations, widgets, APIs, or other features that refer to third-party websites, applications, content, products, or services (“Third-Party Services”). Such Third-Party Services are operated by independent entities and are governed by their own terms and conditions and policies (including privacy and cookie policies), which the User must read and accept separately.

Gaveta Decimal does not control, validate, or assume any responsibility for:

• The content, accuracy, lawfulness, quality, availability, security, or practices of Third-Party Services;
• Any damages, losses, or liabilities arising from the User’s access to, use of, transactions with, communications with, or relationships with such third parties.

Gaveta Decimal reserves the right to interrupt access to the Platform at any time and without prior notice, whether for technical, security, control, maintenance, power supply failures, or any other reason. In any case, we will endeavour to restore access as soon as possible.

Users agree to indemnify and hold Gaveta Decimal, along with its parent company, subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers, and partners, harmless from and against any claims, liabilities, losses, actual or consequential damages, suits, judgements, litigation costs, and legal fees of any kind or nature that may arise as a result of their:

• Violation of these Terms & Conditions.
• Misuse of the Platform.
• Breach of applicable laws, rules, or regulations in connection with their use of the Platform.

Users agree that Gaveta Decimal will have control over the defence or settlement of such claims.

Furthermore, if Gaveta Decimal reasonably believes that Users have violated any of the commitments outlined above, it reserves the right, at its sole and absolute discretion, without notice or liability to Users, to restrict their use of the Platform and, if permissible by law, to pursue any legal remedies available.

Upon termination or expiration of these Terms & Conditions, whether by Users or Gaveta Decimal, Users may no longer have access to information they have posted on the Platform or that is related to them. They acknowledge that Gaveta Decimal is under no obligation to retain any such information within its databases.

Similarly, Gaveta Decimal reserves the right, without prior notice, to initiate appropriate legal proceedings, including but not limited to referring matters to law enforcement or regulatory authorities or notifying the affected party of any unlawful or unauthorised use of the Platform.

Furthermore, without limiting the foregoing, Gaveta Decimal has the right to cooperate fully with any law enforcement agencies or court orders requesting or directing us to disclose the identity or other data of any Users using the Platform.

Gaveta Decimal shall not be held liable to Users, nor deemed in default or breach of these Terms & Conditions, in the event of any failure or delay in fulfilling or performing its obligations, provided that such failure or delay is caused by by an event of force majeure or fortuitous event (“Force Majeure Events”), as recognised under Portuguese law.

For the purposes of this clause, “Force Majeure Events” include, but are not limited to:

• Acts of God.
• Flood, fire, earthquake, epidemics, pandemics, tsunami, explosion.
• War, invasion, hostilities (whether declared or not), terrorist threats or acts, riot, or other civil unrest.
• Government orders, laws, or actions.
• Embargoes or blockades in effect on or after the date of these Terms & Conditions.
• Strikes, labour stoppages, slowdowns, or other industrial disturbances.
• Shortages of adequate or suitable internet connectivity, telecommunications breakdown, or shortages of adequate power or electricity.
• Other similar events beyond Gaveta Decimal’s control.

In the event of a Force Majeure Event, Gaveta Decimal shall:

• Promptly notify Users of the occurrence, including, where possible, an estimate of its expected duration;
• Use all reasonable efforts to mitigate the impact of the Force Majeure Event and resumeperformance of its obligations as soon as reasonably possible.

Gaveta Decimal will work diligently to resolve the issue and minimise the effects of the Force Majeure Event, resuming its obligations as soon as reasonably possible once the cause is resolved.

Should Gaveta Decimal’s failure or delay continue for 45 (forty-five) consecutive days following written notice to Users as outlined in this Section, Gaveta Decimal may subsequently terminate these Terms & Conditions with 15 (fifteen) days’ written notice.

The Platform and all its contents, encompassing but not limited to articles, opinions, texts, lists, user manuals, photographs, drawings, images, video clips, audio, marketing texts, trademarks, logos, domain names, and other elements subject to property rights (including source codes) and/or other intellectual property rights (“Materials”), are either the property of Gaveta Decimal or are utilised with authorisation from third parties. They are protected against unauthorised use, copying, or disclosure by national laws and international treaties related to intellectual property rights.

Nothing in these Terms & Conditions or the content on the Platform should be interpreted as granting, accepting, or otherwise providing the right to use any Material in any way without the prior written consent of Gaveta Decimal or the third-party owner of the Material or the intellectual property rights published on the Platform.

The use, copying, reproduction, modification, republishing, updating, downloading, email transmission, distribution, duplication, or any other misuse of the Material not explicitly identified but of a similar nature is strictly prohibited. As Users, they agree not to use the Material for any unlawful purpose and not to infringe upon the rights of Gaveta Decimal.

Nevertheless, Users may view and display the Platform’s contents and Materials on a computer or electronic device screen, store such content electronically on a personal disk (excluding servers or internet-connected storage devices), or print such content for personal, non-commercial use.

Users are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform for personal and non-commercial purposes only.

Our Privacy Policy describes how we collect, use, store and disclose Users’ Personal Data, and is hereby incorporated into these Terms & Conditions. Users agree to the collection, use, storage, and disclosure of your data under our Privacy Policy. Processing of personal data shall always be carried out in accordance with Regulation (EU) 2016/679 (General Data Protection Regulation – GDPR) and applicable Portuguese data protection laws.

Gaveta Decimal is constantly innovating the Platform to provide the best possible experience. As a result, Gaveta Decimal reserves the right to change these Terms & Conditions at any time. Any changes to these Terms & Conditions will become effective on the “Last Updated Date” indicated at the end of this page.

Consequently, Gaveta Decimal recommends that Users review these Terms & Conditions prior to using the Platform or any of the services accessible through the Platform, and from time to time.

Continued use of the Platform after the “Last Updated Date” will signify Users’ acceptance of and consent to these changes.

These Terms & Conditions, along with its Privacy Policy, constitute the complete legal agreement between Users and Gaveta Decimal, governing Users’ access to and use of the Platform. They supersede any prior or contemporaneous agreements, whether oral or written, between Users and Gaveta Decimal regarding the use of the Platform.

These Terms & Conditions do not confer rights or remedies upon any person or entity other than Users.

The language in these Terms & Conditions will be interpreted based on its fair meaning and not strictly in favour of or against any party.

If any part of these Terms & Conditions is found to be invalid, illegal, void, or unenforceable, that portion will be considered severed from these Terms & Conditions and will not affect the validity or enforceability of the remaining provisions.

Gaveta Decimal’s failure or delay in exercising or enforcing any right or provision in these Terms & Conditions will not be seen as a waiver of the future exercise or enforcement of such right or provision. Waivers of any right or provision in these Terms & Conditions will only be effective if in writing and signed by a duly authorised representative on behalf of Gaveta Decimal.

All matters related to these Terms & Conditions will be governed by and construed in accordance with the laws of Portugal, without consideration of any choice or conflict of law provision or rule.

Before resorting to litigation in a judicial court, Gaveta Decimal and Users agree to resolve any disputes, claims, or controversies arising out of or relating to these Terms & Conditions through binding arbitration, in accordance with the rules of a recognised Portuguese arbitration centre mutually agreed upon by Gaveta Decimal and Users, conducted in the English language.

If the arbitration process described above becomes unavailable, cannot proceed, or fails to resolve the matter at hand, Gaveta Decimal and Users hereby irrevocably submit to the exclusive jurisdiction of the District Courts of Lisbon for the resolution of any such disputes, and expressly waive any right to bring proceedings in any other court or jurisdiction.

Users may not assign any of their rights or obligations under these Terms & Conditions without the prior written consent of Gaveta Decimal, whether by operation of law or otherwise. Gaveta Decimal may, at its sole discretion, assign its rights and obligations under these Terms & Conditions to an affiliate or in connection with an acquisition, sale, or merger.
